Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Umnovation Inc. ("Umnovation," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Description

Umnovation provides Automation Department as a Service (ADaaS) including but not limited to:

• n8n workflow automation
• CRM automation and integrations
• AI-powered business process automation
• System integrations and consulting

3. Service Subscriptions

Our services are provided on a subscription basis. Specific terms, including pricing, scope, and duration, will be outlined in individual service agreements. Subscription fees are billed in advance and are non-refundable except as expressly stated in your service agreement.

4. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Grant necessary access to systems and platforms required for automation implementation
• Respond to requests for information or approval in a timely manner
• Comply with all applicable laws and regulations
• Not use our services for any unlawful or prohibited purposes

5. Intellectual Property

Our IP: All methodologies, frameworks, templates, and pre-existing tools developed by Umnovation remain our intellectual property.

Custom Work: Custom automations and integrations developed specifically for your business will be owned by you upon full payment, unless otherwise specified in your service agreement.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This obligation survives termination of the service agreement.

7. Limitation of Liability

To the maximum extent permitted by law, Umnovation shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our services.

Our total liability for any claim arising from these Terms or our services shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

8. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that our services will be uninterrupted, error-free, or meet all of your requirements.

9. Termination

Either party may terminate the service agreement with written notice as specified in the individual service agreement. Upon termination:

• You will retain access to completed automations and documentation
• We will provide reasonable assistance in transitioning services
• Outstanding fees remain due and payable

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law provisions. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of Portugal.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the new Terms.
